1. Introduction & Acceptance
By submitting a dealer application or placing an opening order, the Dealer confirms acceptance of these Terms & Conditions.
2. Definitions
Products: All Yuhsin equipment, parts, and accessories. Territory: United Kingdom. End Users: UK customers.
3. Appointment
Non-exclusive. No sub-distribution. Max 20 UK dealers for first five years. Geofencing applies for physical stores.
4. Dealer Obligations
Promote full catalogue, maintain facilities, attend training, uphold safety standards.
5. Dealer Levels & Pricing
Level 1: 20% margin.
Level 2: 15% margin.
Level 0 (from 2027).
5A. Demo Equipment & Pricing
Demo pricing may be offered for personal/professional use by active divers/instructors. Not for resale. Distributor may limit or withdraw access.
6. Pricing Policy
Strong recommendation to follow RRP.
Discounts limited to clubs or closed groups.
7. Minimum Purchase Requirements
£750 opening order. £2,500 annual minimum.
Failure may result in downgrade or removal.
8. Orders & Payment
Orders via Dealer Portal. Proforma payment required.
9. Delivery & Risk
Risk transfers on dispatch or collection.
10. Warranty & After-Sales
Dealer handles first-line warranty. Distributor supports major faults.
11. Servicing Requirements
Approved tools, insurance, and training required.
12. Marketing & Branding
Use approved materials only. No misleading claims.
13. Compliance
Must follow UK laws and safety standards.
14. Term & Termination
Distributor may terminate for breach, performance, or at discretion.
15. Post-Termination
Cease branding and settle balances.
